Master Services Agreement (MSA)
The umbrella contract for an ongoing client relationship — set the ground rules once.
What It Is
A Master Services Agreement governs an ongoing client relationship, so you don't have to renegotiate fees, liability, and IP terms for every new engagement. A Scope of Work then covers just the specifics of each individual project — deliverables, timeline, and price — while the MSA stays constant underneath it.
Why It Matters
Once you have a repeat client, or a first engagement likely to lead to more, an MSA saves both sides from re-drafting a full contract every time. It also puts liability caps, IP ownership of your report and tooling, and confidentiality obligations in writing up front, rather than leaving them to be assumed or disputed after something goes wrong.
